PLEASE READ THESE TERMS AND CONDITIONS ("TERMS AND CONDITIONS") CAREFULLY BEFORE REGISTERING FOR THE REFERRAL PROGRAM OFFERED BY SOCIAL SECURITY ADVISORS GROUP, LLC ("SOCIAL SECURITY ADVISORS" OR THE “COMPANY”). THESE LEGALLY BINDING TERMS AND CONDITIONS GOVERN YOUR PARTICIPATION IN THE REFERRAL PROGRAM (THE "PROGRAM" OR THE “REFERRAL PROGAM”). BY ELECTRONICALLY CHECKING THE "ACCEPT" BOX BELOW OR OTHER SIMILAR METHOD OF ACCEPTANCE AND CHOOSING TO PARTICIPATE IN THE PROGRAM, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. THESE TERMS AND CONDITIONS APPLY TO ALL PARTICIPANTS IN THE PROGRAM UNLESS OTHERWISE AGREED TO IN WRITING. IF YOU DO NOT UNCONDITIONALLY AGREE TO THE FOREGOING, PLEASE CONTACT OUR OFFICES AT THE ADDRESS BELOW WITH ANY QUESTIONS YOU MAY HAVE PRIOR TO ENROLLING IN THE PROGRAM. 1) Eligibility To qualify for participation in the Program (including without limitation receipt of Referral Fees (as defined below)), You must be a registered Program participant by completing this registration. 2) Registration Following registration, you will be assigned a unique alphanumeric code ( the “Code") or subdomain to provide to your clients, members, employees, and other third parties when you refer them to Social Security Advisors. You will earn Referral Fees on the referred party’s first purchase of any level of service (a “Qualified Purchase”) when the referred party becomes a paying client of Social Security Advisors and provides your Code or uses your assigned subdomain when making a Qualified Purchase. 3) Referral Fees Each time a new party makes (and does not return) a Qualified Purchase and properly submits your Code or uses your assigned subdomain, you will earn a referral fee equal to 20% (twenty percent) of the Qualified Purchase (the "Referral Fee"). Fees earned in excess of $600.00 per calendar year may require completion and submission of IRS Form 1099-MISC for tax reporting purposes. You will be fully liable for any taxes due and any tax reporting required of you by law as a result of income you receive as a participant in the Program. You will not be entitled to Referral Fees if you fail to provide the correct Code or assigned subdomain to someone you refer or if that person fails to properly submit your Code or use your subdomain. Social Security Advisors will not be liable to you with respect to any such failure. You will not earn a Referral Fee for a purchase if the customer receives a refund for the purchase in accordance with Social Security Advisors’s refund policy. 4) Payment Terms All payments to you shall be made via check within sixty (60) days after the end of the calendar month in which they accrue. All payments will be mailed to the address provided by you upon registration unless changed by you at a later time and acknowledged in writing as changed by Social Security Advisors. Payments shall not be made by any other method unless otherwise expressly agreed to in writing by Social Security Advisors. 5) Term/Termination This agreement shall commence on the date you agreed to the terms and conditions set forth herein and shall remain in effect unless terminated earlier as provided in this agreement. Either party may terminate this agreement, with or without cause, by giving written notice of termination to the other party (email shall be considered sufficient). You will be eligible to earn referral fees only on sales generated during the term of this agreement. Sections 7 and 8 shall survive termination of this agreement. 6) Modifications Social Security Advisors reserves the right, at its sole discretion, to modify or replace any of these Terms and Conditions, or change, suspend, or discontinue the Program (including without limitation, the payment of new Referral Fees) at any time by posting a notice on its website or by sending you an email. Modifications may include, but are not limited to: changes in pricing and offering of products and services, changes in the scope or amount of available referral fees, payment schedules, payment procedures, and Program rules. Furthermore, this shall specifically include the right, at the sole discretion of Social Security Advisors, to make any modifications and/or changes to the subdomain that has been assigned to you. Social Security Advisors may also impose limits on your participation in the Program without notice or liability. It is your responsibility to check these Terms and Conditions, which are available at www.Brokers.SocialSecurityAdvisors.com/Start , periodically for changes. Your continued participation following the posting of any changes to the Terms of Use constitutes binding acceptance of those changes. 7) Representations and Warranties You hereby represent and warrant that: (i) You will comply with all applicable laws and/or regulations (including without limitation copyright laws and anti-spam laws) in connection with your participation in the Program and you will not use the Program for any illegal or unauthorized purpose; (ii) You will not misrepresent your relationship with Social Security Advisors to any third party and you will not make any warranty or representation on behalf of Social Security Advisors ;(iii) your participation in the Program does not and will not violate any agreement between you and any third party; (iv) participation in the Program, will not in any way create an employee/employer, partner, agent, or joint venture partner relationship between you and Social Security Advisors and you will maintain the status of that of an independent contractor throughout your participation in the Program. As such, you have no authority to legally bind, nor attempt to bind, Social Security Advisors unless otherwise expressly provided this authority by Social Security Advisors in writing. 8) Limitation on Liability Social Security Advisors shall not be liable or obligated under any section of this agreement or under contract, negligence, strict liability or other legal or equitable theory for any special, incidental or consequential damages or for any amount in excess of the total fees paid hereunder or, if greater, one hundred dollars ($100.00). 9) Indemnification You agree that Social Security Advisors will have no liability for your breach of the foregoing or for your conduct in general and you will indemnify and hold harmless Social Security Advisors, its subsidiaries and referred parties, and their directors, officers, employees, agents, shareholders, partners, members, and other related parties, against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses resulting therefrom. Except for the foregoing, neither party makes any warranties, express or implied, with respect to the Program or any products or services sold through the Program, including without limitation implied warranties of fitness, merchantability or noninfringement. 10) Legal Disclaimer and Privacy Policy Social Security Advisors's Legal Disclaimer and Privacy Policy, are made available online at www.brokers.SocialSecurityAdvisors.com/legal . These policies may be changed from time to time and are hereby incorporated by reference into this agreement. You agree to be bound by and shall at all times comply with such Legal Disclaimer and Privacy Policy. 11) Name and Trademark Licenses A. Licenses This agreement includes our grant to you of non-exclusive, non-transferable, revocable licenses to (i) access our website through the links established, strictly in accordance with the terms of this agreement and (ii) use those designs, trade names, trademarks, and similar identifying material provided by us which we authorize you to use (collectively, the “Licensed Marks”), for the sole purpose of marketing authorized products and services from Social Security Advisors, and strictly in accordance with the terms of this agreement. You may not alter, modify, or change the Licensed Marks or marketing materials provided in any way. We may alter, modify or change the Licensed Marks at our sole discretion with or without notification. B. Restrictions on Use You shall not anywhere make any specific use of any Licensed Marks without first submitting a sample to us and obtaining prior written consent which may be unreasonably withheld. You agree not to use the Licensed Marks in any manner that is disparaging, portrays Social Security Advisors in a negative light, or otherwise harms the good name and reputation of Social Security Advisors. All other rights in the Licensed Marks are reserved. We may revoke your licenses at any time. 12) Confidentiality Except as otherwise provided in this agreement or with the consent of the other party hereto, both parties agree that all information including, without limitation, business and financial information, customer and vendor lists, and pricing and sales information, concerning us or you, respectively, or any of our referrals provided by or on behalf of any of them shall remain strictly confidential and secret and shall not be disclosed to third parties or utilized, directly or indirectly, by such party for its own business purposes (except as contemplated by this agreement) or for any other purpose except and solely to the extent that any such information is generally known or available to the public through a source or sources other than such party hereto. Notwithstanding the foregoing, each party is hereby authorized to deliver a copy of any such information (a) to any person pursuant to an order issued by any court or administrative agency, and (b) otherwise as required by applicable law. 13) Miscellaneous You will not have any right or ability to assign, transfer, or sublicense any obligations or benefit under this agreement without the written consent of Social Security Advisors (and any such attempt shall be void). You have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your website or otherwise, that would contradict anything in this agreement. Social Security Advisors may assign and transfer this agreement and its rights and obligations hereunder freely without consent. The parties agree that this agreement shall be governed by the laws of the State of Delaware without regard to the conflict of the laws provisions thereof. The parties further agree that if any portion of this agreement is illegal or unenforceable, such portion(s) shall be limited or excluded from this agreement to the minimum extent required and the balance of this agreement shall remain in full force and effect and enforceable. Except as expressly set forth herein, this agreement contains the entire understanding of the parties regarding its subject matter and can only be modified or waived by a subsequent written agreement signed by both parties. Social Security Advisors has the right at any and all times to monitor your participation in the Program to determine if you are in compliance with the terms of this agreement. Our failure to enforce your strict performance of any provision of this agreement will not constitute a waiver of our right to subsequently enforce such a provision or any other provision of this agreement. 14) Independent Investigation By checking the box below or accepting this agreement through any such other similar method, you acknowledge that you have read this agreement, understand it in its entirety, and agree to all of its terms and conditions. You understand that we may at any time (directly or indirectly) solicit customer referrals on terms that may differ from those contained in this agreement. You have independently evaluated the desirability of participating in the Program and are not relying on any representation, guarantee, or statement other than as set forth in this agreement. Furthermore, if agreed to on behalf of an entity, you are an officer or member of such entity and have full authority to legally bind the entity. 15) Binding Effect In addition to you, the terms and conditions contained in this Agreement shall apply to and bind your heirs and/or estates, legal representatives, and assigns. Furthermore, if agreed to on behalf of an entity, you are an officer or member of such entity and have full authority to legally bind the entity.
